A group of shareholders who collectively own 39.6% of the shares of SunAir Services, Inc. jointly filed a Schedule 13D with the Securities and Exchange Commission disclosing their ownership.

The group also filed a Preliminary Information Statement disclosing their plan to remove the directors of SunAir. The group plans to avoid a shareholder meeting by having written consents from a majority of SunAir’s shareholders.

The group indicates that is their intention to sell the company. Although they appear to be related to Massey Services, Inc., this does not necessarily mean that Massey Services will be the ultimate acquiror.

Stay tuned for more. Here are links to the Preliminary Information Statement and the Schedule 13D.
