BOSTON–(BUSINESS WIRE)–Converted Organics Inc. (NASDAQ:COIN) announced today it has entered into definitive agreements with institutional investors to raise gross proceeds of $2,100,000, before placement agent’s fees and other offering expenses, in a registered direct offering.
Under the terms of the transaction, Converted Organics will sell 1.5 million shares of its common stock for $1.40 per share. Investors will also receive short-term warrants for the purchase of one share of common stock for each share of common stock purchased. These warrants will be exercisable at any time on or after the date of issuance until August 14, 2009 at an exercise price of $1.40 per share of common stock. The warrants are callable by the Company at any time after the common stock has closed at or above $2.10 for five consecutive trading days.
The closing of the offering is expected to take place subject to the satisfaction of customary closing conditions. Chardan Capital Markets, LLC acted as the sole placement agent for this transaction.

Increased use of nitrogen in commercial agriculture and turf grass applications, such as on golf courses, has reduced the soil’s ability to absorb nitrogen and other nutrients. Using the products produced by Converted Organics helps restore the soil by replenishing these micronutrients. This reduces the amount of nitrogen required in a virtuous cycle that benefits from long-term use. As a result, use of the product reduces chemical run-off to streams, ponds and rivers, an objective with significant long-term benefits to the environment.
